The proposed resolution authorizes execution of the amended agreement with Wisconsin DOT for the CTH M improvement project. No addition City funds required for adoption of this resolution as reciepet of planned funding was previously approved by the Common Council on April 18, 2017, RES-17-00298, File #46639 and encumbered under contract #7513.

PREAMBLE

CTH M between Cross Country Road and Prairie Hill Road is currently under construction. Additional federal funds have become available for the construction project.

The City of Madison entered into an agreement with WISDOT for construction and engineering on May 11, 2017, authorized by RES-17-00298, File #46639. A revised agreement is required to add additional federal funding and to add additional State Review costs for construction inspection. The additional federal funds offset the increase in State Review costs so no additional City funds are required.

The agreement with the State of Wisconsin Department of Transportation for construction cost sharing defines the terms under which the City is awarded Federal funds and the agreement requires that the City indemnify the State of Wisconsin Department of Transportation. City APM 1-1 requires Common Council Approval whenever the City indemnifies another party.

The proposed indemnification language has been reviewed by the City’s Risk Manager. The City’s risk exposure is increased by this clause, but the exposure is covered by the City’s insurance policies, subject to their terms and conditions.
