This agreement includes an indemnification clause.

Fiscal Note
MillerCoors, LLC will make a financial donation to the City of $10,000 for UW Homecoming Saturday and $5,000 for New Year's Eve for these free ride events. The funding will be used to help cover missing farebox revenue, additional staffing to help with capacity on existing routes and additional calls to the Customer Service Center. Although this funding was not included in Metro's 2015 budget, the cost is not anticipated to exceed a total of $15,000 and will merely replace lost revenue. The indemnification language has been reviewed by the City's Risk Manager. The City's risk exposure is increased by this clause, but the exposure is covered by insurance, subject to its terms and conditions.

Body
WHEREAS the City and MillerCoors have entered into successful agreements for many years in order to provide free rides to citizens at events where drinking alcohol is present; and

WHEREAS the agreement contains a provision which requires the City to hold harmless, indemnify and defend against liability, damage, claims or suits which arise out of the City's acts or omissions in connection with the agreement; and

WHEREAS pursuant to APM 1-1, the inclusion of such a provision requires the express approval of the Common Council; and

WHEREAS the provision of free service on October 17, 2015 and December 31, 2015 is designed to provide safe service to our community which cannot be provided without this sponsorship such that the execution of the agreement is in the public interest;

NOW THEREFORE BE IT RESOLVED that the Common Council accepts the sponsorship of MillerCoors, LLC and funding in the total amount of $15,000 for the October 17, 2015 a...
