The proposed indemnification language has been reviewed by the City's Risk Manager.  The City's risk exposure is increased by this clause, but the exposure is covered by the City's insurance policies, subject to their terms and conditions.

PREAMBLE
The City of Madison is proposing to construct a paved multi-use (bicycle / pedestrian) path that will extend the Capital City Trail from Vondron Road to east of Interstate 39 on the southeast side of Madison, generally following the corridor of the Union Pacific Railroad.
 
This is a key segment of the remaining 6-mile gap in what will become a continuous 140-mile path across the State, the goal of a 1996 MOU between the Madison, Fitchburg, Dane County and the Wisconsin DNR. This project includes a critical crossing of the Interstate, to support a bike route of local, regional and Statewide importance.
  
The project was awarded a federal grant under the Transportation Alternatives Program (TAP) that will reimburse 20% of participating construction costs to a maximum of $715,240.  The proposed project is planned for construction in 2017.  The City is responsible for 100% of design and real estate acquisition costs.
 
The agreement requires that the City indemnify the State of Wisconsin Department of Transportation.  City APM 1-1 requires Common Council Approval whenever the City indemnifies another party.  
 
 
NOW, THEREFORE, BE IT RESOLVED, that the Mayor and City Clerk are hereby authorized to execute an agreement with the State of Wisconsin Department of Transportation for construction, construction oversight and cost sharing of the Capital City Path 4-6  project.
 
BE IT FURTHER RESOLVED that the Mayor and City Clerk are hereby authorized to execute amendments to the original agreement provided the total City share contained in the agreement plus all amendments does not exceed $400,000.
 
BE IT FURTHER RESOLVED, that the Common Council approves indemnification of the State of Wisconsin Department of Transportation as set forth in the agreement in order to use federal funds for the Capital City Path 4-6 project.
