The proposed indemnification language in the Project Agreement has been reviewed by the Risk Manager.  While the City's risk exposure is increased by this agreement, the exposure is covered by the City's insurance policy subject to its terms and conditions.  Any impact on costs would not be immediately known.  (10th & 11th ADs)

PREAMBLE
At its meeting of July 2, 2013 the Common Council approved resolution RES-13-00522 (File ID 30557) authorizing the Mayor and City Clerk to execute agreements with the Wisconsin Department of Transportation for cost sharing for the reconstruction of the Mineral Point Road and Midvale Boulevard Intersection.
The agreements with the Wisconsin Department of Transportation for cost sharing define the terms under which the City is awarded Federal funds and the agreements require that the City indemnify the Wisconsin Department of Transportation. City APM 1-1 requires Common Council approval whenever the City indemnifies another party.
 
BE IT RESOLVED, that the Common Council approves the indemnification of the Wisconsin Department of Transportation as set forth in the agreements in order to use Federal funds for the Mineral Point Road and Midvale Boulevard Intersection Improvement Project.
