Title: Authorization to contract with SupraNet to assume the Facilities Use and License Agreement previously held by CityNet, LLC.

Fiscal Note
As with the agreement with CityNet, SupraNet will pay 5% of their gross revenues to the City.  These General Fund revenues are estimated to be about $20,000 in 2012 and will most likely increase over time.

Authorization to contract with SupraNet to assume the Facilities Use and License Agreement previously held by CityNet, LLC.
Body
WHEREAS  CityNet, LLC d/b/a Mad City Broadband entered into a Facilities and Use Agreement ("Agreement") with the City of Madison on July 15, 2010; and
 
WHEREAS Pursuant to the Asset Purchase Agreement dated December 20, 2012, SupraNet Communications Inc. ("SupraNet") obtained all the Mad City Broadband assets from CityNet, LLC ("Citynet"); and
 
WHEREAS SupraNet is qualified to provide the same services that Citynet has been providing the City of Madison; and
 
WHEREAS SupraNet intends to become a member of the Metropolitan Unified Fiber Network Consortium (MUFN-C) Association and will provide commercial services as required  by the University of Wisconsin's federal MUFN grant agreement of which the City is a sub-recipient;  and
 
WHEREAS SupraNet desires to enter into an agreement with the City similar to that previously held by Mad City Broadband and will assume the responsibilities of Mad City Broadband under the existing Agreement.
 
NOW, THEREFORE, BE IT RESOLVED that the Mayor and City Clerk are authorized to execute contractual documents determined necessary by the City Attorney for SupraNet Communications, Inc. to assume the Facilities Use and License Agreement previously held by CITYNET, LLC, et al, Citynet, LLC d/b/a/ Mad City Broadband and/or enter into a new Facilities Use and License Agreement with the City, for the purposes described above.
