SUBSTITUTE - Authorizing the Mayor and City Clerk to enter into an agreement with Cellnet Technologies, Inc., to provide a WIFI Network in the City of Madison.
Body
Whereas, Cellnet Technologies, Inc. ("Cellnet") intends to install a Wireless Fidelity (WIFI) Network in the City of Madison; and
Whereas, Cellnet wishes to install its equipment on approximately fifteen (15) traffic signal poles and/or streetlight poles in the vicinity of the Capitol Square; and
Whereas, the Common Council strongly supports the ultimate development of a citywide WIFI network for all Madison neighborhoods, regardless of socio-economic status.
Now, therefore, be it resolved that the Common Council of the City of Madison hereby authorizes the Mayor and City Clerk to sign an agreement with Cellnet Technologies, Inc., to install its WIFI equipment on approximately fifteen (15) traffic poles on the following terms and conditions, among others:
1.  Cellnet shall pay to the City a monthly fee of between $7.50 and $13.50 per month for each pole.
2.  Cellnet shall be responsible for the installation, operation, maintenance, repair, and removal of its equipment.
3.  Cellnet agrees to the City's standard indemnification policy.
4.  The terms of the agreement shall be for an initial term of three (3) years with two (2) automatic renewal periods of one (1) year each, unless notice not to renew is provided by either party.
