PREAMBLE

In May, 1984, the State of Wisconsin and City of Madison entered into a Lease Agreement wherein the State would build, at its expense, the Dutch Mill Park & Ride lot, providing major capital maintenance from time-to-time, and the City would maintain the lot: providing snow clearance, litter clearance, general upkeep, electricity for lighting the lot, signage, and provide connecting transit service into Madison. Metro was assigned the responsibility by the City to provide the connecting transit service and to perform and bear the expense of the aforementioned lot maintenance expenses. As a result of discussions in the spring of 2002, at the request of Metro the City entered into a three-year agreement with Sam Van Galder, Inc, a Coach USA Company, wherein Van Galder would make a contribution each year to Metro to help defray maintenance expenses for the lot. Van Galder has used the Dutch Mill Park & Ride lot as a major Madison area boarding and parking site for its customers going between the Madison area and Chicago O'Hare Airport, downtown Chicago, and elsewhere.

This is the first extension of that original agreement and it is also for a three-year term, from May 31, 2005 to May 30, 2008. This agreement provides for a maintenance of effort by Van Galder at the $24,000 level for each year of the agreement.
