Fiscal Note
The proposed resolution authorizes a memorandum of understanding (MOU) to establish a City of Madison Community Resilience Hub Network, led by the Madison Fire Department’s Emergency Management Service. The proposed MOU does not include a financial transaction. No City appropriation is required.

Authorizing a MOU between the City of Madison, the Boys and Girls Club of Dane County, and Wisconsin Youth Company to establish a Community Resilience Hub Network.
Body
WHEREAS, the proposed Memorandum of Understanding (“MOU”) is between the City of Madison, including its Fire Department and Emergency Management Service (collectively the “City”), the Boys and Girls Club of Dane County (“BGCDC”), and Wisconsin Youth Company (“WYC”). These three parties by this MOU create the City of Madison Community Resilience Hub Network (the “Network”);
WHEREAS, Members own and operate facilities for various purposes throughout the Madison area. Members will provide access and utility from the facility or facilities they designate for these purposes and these facilities shall be referred to herein as “Resilience Hubs.” BGCDC offers use of their Allied Drive Boys and Girls Club, and WYC offers use of their Elver Park Neighborhood Center as Resilience Hubs. Certain city agencies may also act as Resilience Hubs which may also house and supply resources for the Network, in the sole discretion of the City.
WHEREAS, a list of Members, and the Resilience Hubs that they designate as part of the Network at any particular time, and for various particular purposes, will be kept on the Network’s website, which shall be run by the City’s Emergency Management staff as part of its website;
WHEREAS, the primary goal of this MOU is to establish the Network, and to clearly establish a mutual understanding of collective responsibilities the Members and the City will provide at Resilience Hubs to improve community resilience, response, and recovery capabilities;
WHEREAS, Members can also engage in collaborative efforts to efficiently coordinate resources, fostering mutual advantages for each Member organization and the community. This includes opportunities for resource and expertise sharing, accessing available grants and funding, fortifying partnerships, promoting sustainable development, and enhancing emergency preparedness;
WHEREAS, during times of crisis, emergency, or disaster, each shall also participate in coordination and communication that supports each Member’s operations in providing the community with resources and information;
WHEREAS, the Network and this MOU shall continue in perpetuity, unless the City decides to terminate the network through notice to all Members. Each Member and Resilience Hub of the Network shall remain a Member or Resilience Hub of the Network until such Member of the Resilience Hub withdraws itself from the Network by voluntary declaration to the City, or by the City’s unilateral determination to remove such Member from the Network. Such a voluntary declaration by the Member or unilateral determination by the City shall be provided to the other with 30 days’ notice;
WHEREAS, this MOU does not establish any employment or independent contractor relationship created by this MOU between the City and the Member, the Members’ employees, contractors, subcontractors, or volunteers. No contractual consideration is provided for the efforts provided to the City and its residents by the Members under this MOU. The only possible repercussion from the City toward any Member for failing to follow the terms of this MOU is the City choosing to remove the Member from the Network as written in the MOU. Any grant provided to the Member by the City or other contractual relationship which may be created between the City and a Member separate from or in addition to the provisions of this MOU shall be governed by the terms of such grant agreement or other legal terms creating such a relationship.
WHEREAS, all amendments to this MOU, except for sign-on MOU amendments adding new members to the Network, must be agreed to by all parties in writing and be signed by all Members of the Network at that time;
WHEREAS, the City Attorney’s Office and City Risk manager has reviewed and approved the proposed MOU;
NOW, THEREFORE, BE IT RESOLVED, the Common Council authorizes the Mayor, City Clerk, or Fire Chief to sign a Memorandum of Understanding (“MOU”) between the City of Madison, including its Fire Department and Emergency Management Section (collectively the “City”), the Boys and Girls Club of Dane County (“BGCDC”) and Wisconsin Youth Company (“WYC”), to create the City of Madison Community Resilience Hub Network (the “Network”);
BE IT FURTHER RESOLVED, the Common Council authorizes the Mayor, City Clerk, or Fire Chief to sign amendments to the MOU, including adding new organizations as Members to the Community Resilience Hub Network;
BE IT FINALLY RESOLVED, the City Attorney’s Office and City Risk Manager will review all proposed amendments to the MOU prior to final signatures.
