Body
WHEREAS, for the past several years, Watertrail Adventures, LLC ("Watertrail"), under an Operating Agreement with the City of Madison ("CITY"), has offered canoeing/kayaking/windsurfing and sailing lessons and has operated a canoe/kayak/windsurf/sailboat rental service and a concession service to the general public at James Madison Park Shelter ("Shelter"); and
WHEREAS, the Madison Park Commission has approved  Watertrail, owner, Mandy Buckner's request to sell her business to John Haugen-Wente and Tom Cavanaugh, who have operated Carl and John's Paddlin' shop in the City of Madison, for several years; and
WHEREAS, Mr. Haugen-Wente and Mr. Cavanaugh wish to continue the Watertrail  operation as it currently operates, including maintaining the name of the operation, for the next three years; and
WHEREAS, it is in the public interest to maintain continuity of service and operation of Watertrail and to continue offering the public the services Watertrail provides to the public patronizing James Madison Park; and
WHEREAS, the Operating Agreement will allow Watertrail to operate a canoe/kayak/windsurf/sailing lesson and rental service and sell concession products in the Shelter in approximately twenty four hundred (2400) square feet of space; and
WHEREAS, the term of the Agreement shall be from May 1, 2006 through April 30, 2008; and
WHEREAS, Watertrail will utilize the space in the off-season months for boat and equipment storage at a rate of one hundred dollars ($100) per month; and
WHEREAS, Watertrail will pay City for use of the space each year; and
WHEREAS, Watertrail shall provide instructor's who are certified in canoeing, kayaking, windsurfing, sailing and lifeguarding and wilderness first aid by the American Canoe Association, the American Red Cross, or by another comparable nationally recognized professional canoe, kayak, windsurfing or sailing organization; and
WHEREAS, all items offered for sale by Watertrail, including but not limited to food, non-alcoholic beverages and confections, shall be approved by the Parks Superintendent or designee; and
WHEREAS, Watertrail shall be responsible for maintaining the shelter area in a neat, clean and creditable condition at all times, including keeping the grounds immediately adjacent to the facility picked up of paper and debris  Watertrail shall keep the boat-launch/beach area free of weeds and debris and shall be responsible for opening, closing and cleaning the restrooms at the Shelter on a daily basis; and
WHEREAS, Watertrail shall at all times maintain the appropriate insurance in the coverage amounts requested and approved by the City's Risk Manager; and
NOW THEREFORE BE IT RESOLVED, the Mayor and City Clerk are hereby authorized to execute an Operating Agreement with John Haugen-Wente and Tom Cavanaugh for the purposes of continuing operation of Watertrail Adventures at James Madison Park for the years 2006 through 2008.
