Fiscal Note
The proposed resolution authorizes a five-year contract for Monona Terrace's event management software. Costs for the first year of the contract in 2024 will be $120,613. The contract was not included in the 2024 Executive Operating Budget. Common Council operating amendment 7, which was adopted unanimously, added the necessary funding and expense authority in Monona Terrace's 2024 adopted budget for this contract. No additional appropriation is necessary.

A resolution authoring a non-competitive service contract with UB Holdings, LLC dba Ungerboeck Systems International, LLC (Momentus Technologies™), the only contractor who can provide an upgrade and additional support and maintenance service for their proprietary event business management system software, Momentus (formerly known as Ungerboeck Systems International or “USI”). (District 4)
Body
WHEREAS, the City owns and operates Monona Terrace Community and Convention Center; and
WHEREAS, Monona Terrace purchased and implemented event management software from UB Holdings, LLC dba Ungerboeck Systems International, LLC, when the building opened in 1997; and
WHEREAS, Ungerboeck Systems Inc. rebranded itself in 2023 as Momentus Technologies™ changing the event management software name from USI to Momentus; and
WHEREAS, Monona Terrace as an agency currently utilizes Momentus to manage all aspects of events including CRM, sales management, space booking and management, event planning, billing & payments (payment portal), building operations (setup & tear down); and
WHEREAS, Momentus Technologies™ is ending support for the current version of Momentus used by Monona Terrace, a customer-hosted deployment; and
WHEREAS, for Monona Terrace to continue to use the software it must upgrade to the supported version of this software, which is now a SaaS solution (cloud/ vendor hosted); and
WHEREAS, Monona Terrace has negotiated a 5 year service contract, with Momentus Technologies™ for the upgrade, professional services and year 1 (2024) of the subscription for Momentus at a price of $120,613.09; followed by a subscription $88,396.01 for year 2, $94,583.73 for year 3, $101,204.59 for year 4, and $108,288.91 for year 5; and
WHEREAS, this contract meets the exception in MGO 4.26(4)(a)2., “the service required is available from only one person or firm” because only UB Holdings LLC dba Ungerboeck Systems International LLC (Momentus Technologies™) can upgrade, support and maintain its proprietary software product, as explained in the attached Noncompetitive Selection Request form;
NOW THEREFORE, BE IT RESOLVED, that the Mayor and City Clerk are authorized to execute a service contract for software upgrade and annual subscription services at the price and duration described above, with UB Holdings, LLC dba Ungerboeck Systems International, LLC (Momentus Technologies™), and future subscription agreements for the useful life of the software.
