Title
A resolution authorizing the CityTraffic Engineer and Parking Manager to sign a Memorandum of Understanding (MOU) with the Wisconsin Educational Communications Board (WECB) relating to a cost sharing agreement for operating an emergency generator.

Body
WHEREAS,the City of Madison rents a suite at the University Community Radio Tower located at Pleasant View Road in Madison for broadcast operations of public works and public safety radio communications; and

WHEREAS, the WECB, A state agency, rents a suite adjacent to the City's Suite, and due to limited available space, the WECB and the City both have used a city-owned emergency back-up power generator;

WHEREAS, as the old generator has become obsolete and the associated maintenance and repair costs have increased dramatically over time and many replacement parts are no longer available;

WHEREAS, the annual routine maintenance costs for the old generator exceeds $700;

WHEREAS, the WECB has purchased a new diesel-fueled emergency generator and has offered to install it and remove the old generator and assume responsibility for overseeing the operation of the new generator;

WHEREAS, per a proposed MOU, the City would share fuel, maintenance and emergency repair costs associated with the new generator with the WECB.

WHEREAS, the City would be responsible for the costs of connecting the new generator with the City's suite;

WHEREAS, the cost sharing would be based on each entity's calculated percentage of the total electrical load (70% to WECB and 30% to the City).  The City's portion would average approximately $270 per year (billed annually);

WHEREAS, this agreement would provide costs savings to the City as the annual costs to maintain and repair the old generator would likely exceed the annual costs to be billed to the City by the WECB for the new generator.

NOW, THEREFORE, BE IT RESOLVED that the Traffic Engineer is authorized to sign a Memorandum of Understanding with the State of Wisconsin Educational Communications Board as described herein for a period of 10 years (with the option to renew for additional 5-year periods) or until either party moves or abandons its suite located at the Community Tower.
