The Cooperative Enterprise Development capital program has available budget authority of approximately $790,000. No additional City appropriation is required.

Title

SUBSTITUTE - Approving the Scope of Services for the Cooperative Enterprise Development Program for 2019 and directing staff to assist the Madison Cooperative Development Coalition (MCDC) in forming a new non-profit entity creating an Executive Board for the Madison Cooperative Development Coalition.

Body

WHEREAS, the City has invested in the creation of the Madison Cooperative Development Coalition (MCDC) to provide technical assistance and organizing for business cooperatives, and a loan fund managed by the Madison Development Corporation  to provide loans to worker cooperatives (RES-16-00502); and,

 

WHEREAS, the Madison Development Corporation and the MCDC Madison Cooperative Development Coalition will continue to work in partnership with support from the City of Madison Economic Development Division (EDD) Office of Business Resources to accomplish the goals of the program; and,

 

WHEREAS, City staff recommends that changes be made to better structure and support the goals of the program including directing staff to assist MCDC in the development of a new non-profit entity the creation of an Executive Board that will include a City Staff member and additional methods of oversight; and

 

WHEREAS, the Cooperative Enterprise Development Program is approved in the 2019 Capital Budget and in the Capital Improvement Plan for 2020-2023.

 

NOW THEREFORE BE IT RESOLVED, the Common Council directs City staff from the EDD to assist MCDC, in consultation with the UW Center for Cooperatives and other interested parties, to create a new non-profit, MCDC,  to move forward with the revised scope of services for the program; and,

 

BE IT FURTHER RESOLVED, the Common Council further directs City EDD staff to assist MCDC to approves the creation of an Interim Executive Board for the Madison Cooperative Development Coalition that will consist initially of two positions: 1) City Staff representative, Ruth Rohlich 2) UW Center for Cooperatives representative, Courtney Berner; and,

 

BE IT FURTHER RESOLVED, the Interim Executive Board will create processes and procedures for for forming a new non-profit entity for MCDC that expanding the Board that will be approved by Council at a later date; and,

 

BE IT FURTHER RESOLVED, the Executive Board will create a structure for Madison Cooperative Development Coalition and  to focus on administration, oversight, fundraising, grant writing, and scope of work for multiple community organizations around the goals of this project and that may include an Executive Board for MCDC; and,

 

BE IT FURTHER RESOLVED, the EDD staff Executive Board will oversee all fund disbursement with approval from the Common Council; and,

 

BE IT FURTHER RESOLVED, the Common Council will approve all Community Based Organization grants and all Cooperatives in Development receiving financial assistance from City funds; and 

 

NOW THEREFORE BE IT RESOLVED, the Economic Development Division staff is authorized to negotiate contracts with the fiscal agent, Center for Community Stewardship to continue programming as specified in the attached Scope of Services; and,

 

BE IT FINALLY RESOLVED that the Mayor and City Clerk are authorized to execute said contracts and are authorized to execute, deliver, accept and record any and all documents and take such other actions as shall be necessary or desirable to accomplish the purpose of this resolution in a form approved by the City Attorney.
